Major issues within the competence of the Company’s Board of Directors are:
× Choosing priority directions of the Company’s activities;
× Convention of annual and extraordinary General Shareholders’ Meetings of the Company;
× Choosing an agenda for a General Shareholders’ Meeting of the Company;
× Handling issues related to preparation for and the holding of the General Shareholders’ Meeting of the Company;
× Approval of major transactions in cases stipulated in Chapter X of the Federal Law “On Joint Stock Companies”;
× Approval of transactions stipulated in Chapter XI of the Federal Law “On Joint Stock Companies”;
× Appointment of the Director General of the Company and early termination of his office;
× Setting the composition of the Company’s Executive Board, election of members of the Company’s Executive Board, setting remunerations and compensations, and early termination of their offices.
